About Urbfind

These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," or "User") and ALL DISTRICT JEANS Inc. ("ALL DISTRICT JEANS," "we," "us," or "our") governing your access to and use of the Urbfind mobile app, website, platform, and related services (collectively, the "Service").

Urbfind is a location-based discovery platform that connects local businesses ("Stores") with nearby shoppers ("Shoppers") through visual posts — photographs, promotions, sales, clearance items, new products, events, offers, and other business-related content. Stores create profiles and publish content; Shoppers discover Stores and posts based on geographic proximity and other factors.

Urbfind is a technology platform. It does not itself sell, manufacture, own, stock, guarantee, or fulfill the products or services advertised by Stores.

By creating an account or accessing or using Urbfind, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use Urbfind.

Eligibility — 18 Years or Older Only

You must be 18 years of age or older to create an Urbfind account or otherwise access or use the Service. This applies equally to Shopper accounts and Store accounts, and to anyone acting on behalf of a Store — for example, an employee or contractor creating posts for a business. Urbfind does not knowingly allow anyone under 18 to register for an account.

By registering for Urbfind, you represent and warrant that:

• You are at least 18 years old.
• You have the legal capacity to enter into these Terms.
• The information you provide is accurate.
• You will maintain the accuracy of your account information.
• You will comply with applicable laws.

Stores registering on behalf of an organization represent that they have authority to act for that organization.

Account Registration

Registration is required to use Urbfind. You agree to provide accurate and current information when creating an account.

You are responsible for:

• Maintaining the accuracy of your information.
• Keeping your login credentials secure.
• Preventing unauthorized access to your account.
• All activity occurring through your account, except where caused by circumstances beyond your reasonable control or otherwise provided by applicable law.

You must notify us promptly if you believe your account has been compromised.

User Types

Urbfind supports two account types:

Shoppers

Individuals who use Urbfind to discover Stores, products, promotions, deals, sales, clearance items, events, and other local content.

Stores

Businesses, retailers, restaurants, service providers, organizations, or other commercial entities that create profiles and publish content through Urbfind.

Additional terms may apply to Stores when they use paid services or other Store-specific features (see Section 25).

Location Services

Location is a fundamental component of Urbfind. You agree that Urbfind may use your device's location information to provide location-based functionality as described in our Privacy Policy, including to determine nearby Stores, calculate distances, display relevant posts, improve local discovery, personalize content, and improve platform functionality.

Shopper location

Urbfind does not publicly display a Shopper's precise GPS location. Stores see their own location and publicly available Store information, not a Shopper's precise location.

Store location

Stores may be required to provide accurate location information to use certain Urbfind features. Store location may be publicly displayed so Shoppers can discover and visit the Store.

You acknowledge that disabling required location permissions may prevent you from using some or all Urbfind functionality.

Store Accounts

Stores are responsible for providing accurate information about their business, which may include:

• Store name
• Store address and location
• Profile image and cover image
• Store category
• Contact information
• Store description

Stores must have the necessary rights and authority to represent the business and publish its information.

Store Content

Stores may publish photographs, graphics, descriptions, promotional information, deals, sales, clearance information, product information, events, and other materials ("Store Content"). Stores are solely responsible for their Store Content, and represent and warrant that they have all rights, licenses, permissions, and authorizations necessary to publish it.

Store Content must not:

• Be false or materially misleading.
• Infringe intellectual-property rights.
• Violate applicable laws.
• Contain unlawful discriminatory content.
• Contain malicious code.
• Impersonate another person or business.
• Promote fraudulent activity.
• Contain unauthorized personal information.
• Include information the Store does not have permission to publish.

Accuracy of Deals, Prices & Promotions

Urbfind may display deals, sales, prices, discounts, clearance information, availability, and other promotional information supplied by Stores. Stores are solely responsible for the accuracy of their offers.

By using Urbfind, you acknowledge that a Store publishing a deal, sale, or promotion is not a guarantee that the offer is valid, accurate, or will be honored. You agree not to hold Urbfind or ALL DISTRICT JEANS Inc. responsible or liable if a Store fails to honor an advertised offer.

Urbfind does not guarantee that a deal is still available, a product remains in stock, a stated price is accurate, a discount remains active, a promotion has not expired, or that a Store will honor an advertised offer.

Stores are responsible for complying with all applicable consumer-protection, advertising, pricing, tax, and promotional laws — including price and stock accuracy, product condition, expiration, store hours, returns, refunds, product safety, and taxes.

No Endorsement of Stores

The appearance of a Store, product, service, promotion, deal, or post on Urbfind does not constitute an endorsement, certification, recommendation, or guarantee by ALL DISTRICT JEANS Inc. Users should independently evaluate Stores and offers before making purchasing decisions.

Transactions Between Users and Stores

Urbfind helps Shoppers discover Stores and their offers. Unless expressly stated otherwise, Urbfind is not a party to transactions between Shoppers and Stores — any transaction occurs directly between them.

Stores are responsible for selling their products and services, fulfilling orders, honoring valid offers, pricing, taxes, refunds, returns, warranties, customer service, product safety, and regulatory compliance.

Users should direct transaction-specific complaints to the relevant Store unless Urbfind expressly provides a separate transaction service.

No Guarantee of Products or Services

ALL DISTRICT JEANS Inc. does not guarantee the quality, safety, legality, authenticity, availability, accuracy, suitability, or performance of any product or service advertised or promoted through Urbfind. Users assume responsibility for evaluating whether a product or service is appropriate for them.

Intellectual Property

The Urbfind platform — including its software, design, interface, branding, logos, trademarks, graphics, text, functionality, and other materials we provide — is owned by or licensed to ALL DISTRICT JEANS Inc. and protected by applicable intellectual-property laws.

Except as expressly permitted by these Terms, you may not copy, modify, reproduce, distribute, sell, lease, reverse engineer, decompile, create derivative works from, or otherwise exploit any portion of Urbfind without our prior written permission.

Your License to Urbfind

When you submit information or content to Urbfind, you grant ALL DISTRICT JEANS Inc., to the extent permitted by applicable law, a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, process, modify where technically necessary, display, distribute, analyze, and otherwise use that content for operating, providing, maintaining, improving, promoting, securing, and developing Urbfind and its services.

For Store Content, this license includes displaying it to Urbfind users and using it in connection with operating and promoting the platform.

Store Content and Promotional Use

By publishing Store Content on Urbfind, Stores authorize Urbfind to display and distribute that content through the Service. Stores understand that Urbfind may use publicly available Store Content in app displays, search results, recommendations, promotional materials, marketing campaigns, social-media promotion, advertising, and platform demonstrations, where permitted by applicable law and consistent with the Store's rights described in Section 13.

Machine Learning & Artificial Intelligence

Urbfind may use machine-learning and artificial-intelligence technologies to operate and improve the platform — for content classification, search, recommendations, ranking, fraud and spam detection, moderation, advertising, analytics, product development, and platform optimization.

Information may also be processed for training, evaluating, testing, and improving machine-learning systems, subject to our Privacy Policy and applicable law — see Section 34 for the required-vs-optional distinction that governs this.

Analytics & Advertising

Urbfind may use analytics and advertising technologies to understand platform activity, measure performance, improve the Service, and provide advertising. Stores may eventually be offered advertising or promotional tools to reach relevant audiences.

Where required by applicable law, users will receive appropriate consent or opt-out mechanisms — including the Do Not Sell or Share My Data control described in our Privacy Policy (Section 34).

Prohibited Activities

You agree not to use Urbfind to:

• Violate any law or regulation.
• Commit fraud or deceptive practices.
• Impersonate another person or business.
• Create fake accounts or misrepresent your identity.
• Harass, threaten, or abuse others.
• Upload malicious software.
• Attempt unauthorized access to Urbfind systems.
• Scrape or collect information through unauthorized automated means.
• Interfere with the operation of Urbfind, or reverse engineer the Service.
• Circumvent security mechanisms.
• Manipulate rankings, engagement, views, or other metrics.
• Create misleading promotions or publish fraudulent deals.
• Publish content that infringes intellectual-property rights.
• Publish another person's private information without authorization.
• Use Urbfind for unlawful surveillance or to distribute spam.
• Engage in discriminatory or unlawful conduct.
• Use automated systems to access Urbfind without authorization.
• Attempt to manipulate location-based functionality.
• Use Urbfind for any purpose that violates these Terms.

Store-Specific Prohibited Activities

Stores may not use Urbfind to advertise or promote illegal goods or services, counterfeit or stolen products, products or services prohibited by applicable law, misleading claims, fake discounts or reviews, false scarcity claims, unauthorized brands or copyrighted materials, or products that require regulatory approval the Store does not have.

We may remove content or suspend Stores where we reasonably believe these rules have been violated.

Content Moderation

We may, but are not obligated to, monitor, review, classify, restrict, or remove content posted through Urbfind if we believe it violates these Terms or applicable law, creates security risks, is fraudulent or deceptive, infringes rights, is inappropriate for the Service, or creates risk to users or Stores. We may use automated systems and human review to assist with content moderation.

Reporting Violations

If you believe content or activity on Urbfind violates these Terms or applicable law, you may report it to us using the contact details in Section 39. We may investigate reports and take appropriate action.

Account Suspension & Termination

We may suspend, restrict, or terminate an account if you violate these Terms or applicable law, provide false information, present a security risk, are used for fraudulent activity, harm users or Stores, threaten the integrity of Urbfind, or where we are legally required to do so or discontinue the Service.

Where appropriate and legally required, we may provide notice or an opportunity to resolve the issue before termination.

Your Right to Close Your Account

You may stop using Urbfind at any time. You may request deletion of your account through the available account-management functionality or by contacting us using the details in Section 39. Deletion is subject to our Privacy Policy and applicable legal requirements.

Availability of the Service

We aim to keep Urbfind available, but we do not guarantee that the Service will always be available, uninterrupted, error-free, secure at all times, operate on every device, remain unchanged, or always provide accurate location information. We may modify, suspend, discontinue, or restrict portions of the Service at any time, subject to applicable law.

Third-Party Services

Urbfind may integrate with third-party services, including mapping providers, location services, analytics providers, advertising providers, authentication providers, cloud infrastructure, payment processors, artificial-intelligence services, and other technology providers. Your use of third-party services may be subject to those providers' own terms and policies.

Future Paid Services

Urbfind may introduce paid services in the future — optional Store services such as promoted posts, advertising, enhanced visibility, premium profiles, business analytics, promotional tools, subscriptions, and other paid features.

Before using a paid service, you may be required to accept additional terms and pricing. Prices, billing periods, renewal terms, taxes, cancellation rules, refunds, and other applicable conditions will be disclosed before purchase where required by law.

Fees & Taxes

If paid services become available, applicable fees and taxes will be disclosed at the time of purchase. Unless otherwise stated: fees are payable according to the selected billing plan, users are responsible for applicable taxes, and pricing may change with appropriate notice where required by law.

Disclaimers

To the maximum extent permitted by applicable law, Urbfind and the Services are provided on an "as is" and "as available" basis. ALL DISTRICT JEANS Inc. disclaims warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.

Nothing in these Terms excludes a warranty or consumer right that cannot legally be excluded under applicable law.

Limitation of Liability

To the maximum extent permitted by applicable law, ALL DISTRICT JEANS Inc. and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of Urbfind.

This may include losses resulting from Store transactions, products purchased from Stores, incorrect promotional information, product availability, Store conduct, user-generated content, service interruptions, unauthorized account access, or reliance on information displayed through Urbfind.

Some jurisdictions do not permit certain liability limitations. In those jurisdictions, our liability will be limited only to the maximum extent permitted by applicable law.

Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless ALL DISTRICT JEANS Inc. and its directors, officers, employees, affiliates, contractors, and service providers from claims, damages, liabilities, losses, costs, and expenses arising from your violation of these Terms, your misuse of Urbfind, your Store Content, your violation of another person's rights, your violation of applicable law, or your transactions with Stores or users.

This section does not require you to indemnify us where prohibited by applicable law.

Dispute Resolution

Before initiating formal legal proceedings, you agree, where legally permitted, to first contact us and attempt to resolve the dispute informally using the details in Section 39. We will attempt to resolve legitimate disputes in good faith.

Nothing in this section prevents a consumer from exercising rights that cannot legally be waived.

Governing Law

These Terms are governed by the laws applicable to ALL DISTRICT JEANS Inc.'s principal place of business, subject to mandatory consumer-protection and other laws applicable in your jurisdiction. If you are a consumer in a jurisdiction that provides mandatory legal protections or rights that cannot be waived by contract, those protections remain applicable.

International Users

Urbfind is intended for users around the world. Different countries may provide users with mandatory legal protections that differ from these Terms. Nothing in these Terms is intended to remove or restrict rights that cannot legally be excluded under the laws applicable to you.

Changes to These Terms

We may update these Terms from time to time — because of new features, new or paid services, changes to technology or business practices, changes in applicable law, or security requirements. When changes are material, we may provide notice through the App, website, email, or another legally appropriate method.

Your continued use of Urbfind after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.

Privacy

Your use of Urbfind is also governed by our Privacy Policy, available in the app under Settings → Privacy Policy, and on our website. It explains how we collect, use, disclose, retain, and protect personal information.

Electronic Communications

By creating an Urbfind account, you agree that we may communicate with you electronically regarding your account, security, Service functionality, transactions, legal notices, and changes to the Service or these Terms. Where applicable law requires consent for marketing communications, we will obtain the appropriate consent.

No Waiver

If we do not immediately enforce a provision of these Terms, that does not mean we waive our right to enforce it later.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific services, constitute the agreement between you and ALL DISTRICT JEANS Inc. regarding your use of Urbfind.
